These Terms of Use (“Terms”) govern the terms of access and use of the website https://thegreymatter.co.in (“Website”) belonging to Happy Curious Lawyers LLP and its affiliates (collectively referred to as “The Grey Matter” or “TGM”) and you – the user and visitor of the Website. 

By using and browsing the Website and subscribing to the newsletter, you understand and agree to these Terms. These Terms form a binding legal obligation and are in accordance with the Intermediary Guidelines, Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. These Terms of Use shall be read together with the Privacy Policy or other terms and condition with all other notices, disclaimers, guidelines appearing on the Website. 

‍ELIGIBILITY AND USE OF THE WEBSITE

Anyone can use and access the Website and subscribe to the newsletters curated and/or authored by TGM. You may access the Website either as a visitor or as someone who subscribes to the newsletters of TGM. For the course of providing the newsletters, TGM seeks your contact details such as name, mobile number and email address. You undertake to ensure that the information provided to TGM is up to date and accurate. In the event of your failure to provide accurate information, if any loss is caused to TGM, the same shall be recovered from you. If you provide any spam information to TGM, TGM reserves the right to immediately cease the access and use of the Website to you including the access to any newsletters and it may also delete you from any mailing lists. 

You agree that while using the Website, you shall not upload or attempt to upload any information or data which is violative of legal rights of others or is otherwise detrimental to TGM. You shall not, in any manner or form, attempt to corrupt the information available on the Website or upload any file or software that corrupts or impacts the information visible or available on the Website or which otherwise undermines the Website. You will not use the Website or defame the same on any forum, public or private.

The content forming a part of our Website as well as our newsletters belongs and is exclusively owned by TGM and is protected under the laws as currently in force. Except where prohibited by law, in no event will TGM be liable to you for any indirect, consequential, exemplary, incidental or punitive damages, including lost profits, even if we have been advised of the possibility of such damages. If, notwithstanding the other provisions of these Terms of Use, we are found to be liable to you for any damage or loss which arises out of or is in any way connected with your use of the Website or any content, our liability shall in no event exceed the INR 100/-.

UPDATES

We reserve the right, at Our sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time without any prior written notice to You.

SEVERABILITY

If any of these terms should be determined to be illegal, invalid or otherwise unenforceable by reason of the laws of any state in which these terms are intended to be effective, then to the extent and within the jurisdiction which that term is illegal, invalid or unenforceable, it shall be severed and deleted and the remaining Terms shall survive, remain in full force and effect and continue to be binding and enforceable.

You shall not assign or transfer or purport to assign or transfer the contract between You and Us to any other person.

‍DISPUTE RESOLUTION

All disputes arising out of or in relation to these Terms, including any question regarding its existence, validity or termination, which cannot be amicably resolved shall be resolved in accordance with laws of India and courts at Mumbai shall have exclusive jurisdiction to adjudicate upon such disputes.
